Deyan (Grace) Zeng is a Senior Associate in BurgherGray’s New York office, practicing in real estate and corporate law. She brings more than 15 years of global legal experience, including substantial U.S. practice and earlier work supporting Fortune 500 platforms. Her practice centers on complex commercial real estate transactions, including acquisitions and dispositions, leasing, and financing, as well as general corporate and commercial matters.

Grace represents developers, landlords, tenants, and institutional investors in multi-jurisdictional transactions across the United States, across a wide range of asset classes, including retail, office, mixed-use, and development projects. She regularly advises on the structuring, negotiation, and execution of purchase and sale agreements, commercial leases, and financing documents, and has substantial experience coordinating transaction workflows, managing closing processes, and resolving title, survey, and diligence issues.

On the finance side, Grace represents borrowers, landlords, and tenants in complex loan transactions and related documentation. Her working knowledge of lender requirements and capital structures allows her to support transactions involving layered financing and institutional stakeholders.

Grace also advises on entity formation, corporate governance, and multi-state compliance, helping clients structure and manage real estate investments and operating platforms. She works closely with cross-functional teams, including development, construction, property management, and financing professionals, to identify risks and deliver practical, business-oriented solutions.

Before joining BurgherGray, Grace held both in-house and law firm positions, providing comprehensive legal support across real estate, financing, and general commercial operations, and playing a key role in managing complex transactions and cross-functional initiatives. Earlier in her career, she served as legal counsel for multinational organizations, supporting large-scale real estate and infrastructure development, acquisitions and dispositions, leasing, and financing projects, while advising on regulatory compliance, dispute resolution, and contract management.

Grace earned her LL.M. from the University of Notre Dame Law School and holds advanced law degrees from the China University of Political Science and Law. She is admitted to practice in the State of New York.
