Cherie Samuels is Of Counsel in BurgherGray’s New York Office. Ms. Samuels is a highly accomplished international corporate lawyer who is qualified in both the US and the UK. She brings over 13 years of experience, with a focus on Finance, Capital Markets, Derivatives and Securities transactional and compliance matters. Cherie’s transactional experience includes corporate structuring, mergers and acquisitions, public and private debt and equity securities offerings, bi-lateral and syndicated lending, commercial contracts, equity and credit derivatives, and structured finance and securitizations transactions. In her practice, Cherie leverages for the benefit of her clients her unique legal multi-jurisdictional experience and qualifications, including her knowledge of US, UK and EU financial regulatory frameworks, her corporate in-house and law firm experiences, and her business acumen and in-depth understanding of domestic and cross-border issues to provide actionable and relevant advice and counsel to help her clients achieve their business objectives with respect to various corporate, transactional, regulatory and compliance matters. Her sound judgment and advice make her a valued and trusted adviser to her clients on a range of issues and subject matters , including, without limitation, enterprise risk management, corporate governance, and high-value corporate, finance and commercial transactions.
Prior to joining BurgherGray, Cherie practiced at one of the largest corporate law firms in the world, CMS Cameron McKenna Nabarro Olswang LLP, where she led the legal team responsible for structured finance and derivatives transactions for Global Markets businesses covering various asset classes, including structured credit, structured rates, FX and equities. She regularly advised clients on complex lending and structured finance transactions, product governance frameworks, implementation of and compliance with regulations such as MiFID II, PRIIPs, CSRD and US securities regulations, as well as with respect to various cross-border transactions or projects involving the US, EMEA and/or Asia.
In addition, Cherie prior experience involved serving in various in-house roles for a number of global financial institutions, including Goldman Sachs, J.P. Morgan, Deutsche Bank and Nomura, where she drafted and negotiated the full suite of legal documentation in respect of leveraged and investment grade syndicated and bilateral loans and other credit products, including mandate/commitment letters, term sheets, facility agreements, intercreditor agreements, security documents, fee letters, due diligence reports, CP documents and legal opinions. Her clients include both bank and non-bank lenders, borrowers, broker-dealers, and private investment funds, among others.
